These Terms of Use ("Terms") govern your access to and use of the MicLab application ("MicLab") and any related services provided by NEXORA LABS PTE. LTD. ("we", "us", "our"). By creating an account or using MicLab, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Eligibility

You must be at least 18 years old to create an account and use MicLab.
By using MicLab, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.
We reserve the right to verify your age and identity at any time using third-party AI and age verification services, and to suspend or terminate accounts that do not meet eligibility requirements.

2. Account Registration & Security

You agree to provide accurate, current, and complete information during registration.
You are responsible for maintaining the confidentiality of your account credentials.
You must not share your account with others or allow unauthorized access.
You are solely responsible for all activity that occurs under your account.
Notify us immediately at zhimailian@gmail.com if you suspect unauthorized use of your account.

3. Acceptable Use Policy

You agree to use MicLab only for lawful purposes and in accordance with these Terms. You may NOT:

Use our services for any illegal, fraudulent, or unauthorized purpose.
Harass, abuse, stalk, threaten, or intimidate any person.
Create fake or misleading profiles or impersonate another person.
Use MicLab for commercial purposes, advertising, or solicitation without written authorization.
Reverse engineer, decompile, or extract the source code of any part of the application.
Use automated tools, bots, scrapers, or scripts to access or interact with the platform.
Interfere with or disrupt the operation of the service, servers, or networks.
Circumvent security measures, rate limits, or access controls.
Collect, harvest, or store personal information of other users without their consent.

4. User Content

4.1 Your Content

You retain ownership of the content you create and share on MicLab, including photos, messages, and posts.
By posting content, you grant NEXORA LABS PTE. LTD. a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, modify, display, and distribute your content in connection with operating and providing the service.
You are solely responsible for the legality, accuracy, and appropriateness of all content you post.
You represent that you have all necessary rights to the content you share and that it does not violate any third-party rights.

4.2 Content Moderation

We reserve the right to review, moderate, and remove any content that violates these Terms, our community guidelines, or applicable laws.
We may use automated systems including third-party AI moderation services and human review to detect and remove prohibited content.
Removal of content does not obligate us to provide a reason, though we may do so at our discretion.

5. Intellectual Property

All content, features, functionality, design, trademarks, logos, and technology within MicLab are owned by NEXORA LABS PTE. LTD. and are protected by international copyright, trademark, and intellectual property laws.
You may not copy, modify, distribute, sell, or create derivative works based on any part of MicLab without our prior written consent.
The name, logos and related brand elements of this application are the assets of the Company, and unauthorized use is strictly prohibited.

6. Virtual Currency & In-App Purchases

6.1 Virtual Currency (Coins)

MicLab uses a virtual currency called "Coins" for certain premium features and virtual items.
Coins can be purchased through iOS In-App Purchases only.
All purchases are processed through Apple App Store and are subject to Apple's terms of service and refund policy.
Coins have no cash value and cannot be exchanged for real money or goods.
Coins are non-refundable except as required by applicable law or as provided by Apple's refund policy.
Virtual items purchased with Coins are also non-refundable and non-transferable.

6.2 Purchase Terms

All prices are displayed in the app before purchase. You will have the opportunity to review and confirm before completing any purchase.
We reserve the right to change the price of Coins and premium features at any time with notice through the app.
Any promotional credits or bonuses may have expiration dates and are subject to additional terms.
Purchases are for your personal, non-commercial use only and are non-transferable.
We do NOT store your credit card or payment information. All payment processing is handled securely by Apple.

6.3 Refunds

You may request a refund for in-app purchases through Apple App Store → Your Account → Purchase History → Report a Problem.
Refund eligibility is determined by Apple's refund policy, not by us.
We do not guarantee that refund requests will be approved. We are not responsible for Apple's decisions regarding refunds.
Virtual items and Coins already used cannot be refunded under any circumstances.

Important: Refund processing and approval is entirely under Apple's control. We cannot issue refunds directly. For refund-related questions, please contact Apple Support.

7. Interactions with Other Users

NEXORA LABS PTE. LTD. is not responsible for the conduct of any user, whether on or off the platform.

You are solely responsible for your interactions with other users, including any in-person meetings.
We do not conduct criminal background checks or verify the identity, statements, or claims of users beyond the verification tools explicitly offered within the app.
We strongly encourage you to exercise caution and personal judgment when interacting with others.

Important: Exercise caution when sharing personal information with other users. Never send money or virtual items to someone you have not met in person. Report any suspicious behavior immediately.

8. Privacy & Data Protection

Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your personal information. By using MicLab, you agree to the collection and use of your information as described in the Privacy Policy.

9. Account Termination

9.1 By You

You may delete your account at any time through the app settings.
Deleting your account will permanently remove your profile, content, and messages.
Coins and virtual items cannot be refunded upon account deletion.
All remaining Coins in your account will be forfeited upon deletion.

9.2 By Us

We may suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms or community guidelines.
We may terminate accounts that are inactive for an extended period (e.g., 6+ months).
Upon termination, your right to use MicLab ceases immediately.
Provisions that by their nature should survive termination will remain in effect, including intellectual property, disclaimers, and limitation of liability.

10. Disclaimers

MicLab is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory.
We do not warrant that the service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
We do not guarantee the accuracy, reliability, completeness, or quality of any user-generated content or user profiles.
Any material downloaded or obtained through MicLab is at your own risk and discretion.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

NEXORA LABS PTE. LTD. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses.
We shall not be liable for any damages arising from user interactions, reliance on user content, unauthorized access to accounts, or service interruptions.
Our total aggregate liability for any claims shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or USD $100, whichever is greater.

12. Indemnification

You agree to indemnify, defend, and hold harmless NEXORA LABS PTE. LTD., its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from:

Your use of or access to MicLab.
Your violation of these Terms or any applicable law.
Your content or any activity conducted through your account.
Your infringement of any third-party rights.

13. Dispute Resolution

Any disputes arising from these Terms or your use of MicLab shall first be attempted to be resolved through informal negotiation by contacting us at zhimailian@gmail.com.
If informal resolution fails, disputes shall be resolved exclusively in the competent courts of Singapore.
You agree to resolve disputes on an individual basis and waive any right to participate in class actions or collective proceedings.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore, including the Personal Data Protection Act 2012 (PDPA), without regard to its conflict of law principles.

15. Changes to These Terms

We may update these Terms at any time. Material changes will be communicated through in-app notifications or email. Your continued use of MicLab after changes are published constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using MicLab and delete your account.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy and any community guidelines, constitute the entire agreement between you and NEXORA LABS PTE. LTD. regarding your use of MicLab and supersede all prior agreements and understandings.

Important Update: Change of Service Provider

The ownership and operation of this app (MicLab) were transferred on April 16, 2026 from [Previous: MengXia Wu] to [New: NEXORA LABS PTE. LTD.].

From the transfer date, this Terms of Service is governed and enforced by the new entity. The previous entity no longer assumes any legal liability related to the app. Your continued use of the app constitutes your acknowledgment and acceptance of this change.
